These Terms of Use (including any paragraph(s) and/or statement(s) and/or part(s) of these Terms of Use) (hereinafter referred to as the “ToS” or the “Terms Of Use”) establish the conditions for the use of this software.

This software (including any of its part(s), module(s), and/or sub-module(s)) is a software application designed for the automatic real-time scanning of the Cryptocurrency trading market, the evaluation of short-term market deviations in real-time based on its proprietary trading strategy, risk management, algorithms, and the automatic opening, managing, and closing of buy and/or sell trades in real-time (hereinafter referred to as the “Application”) on a trading account within which this software Application is initiated and logged (hereinafter referred to as the “Account”).

The Account is not associated with the Application. The Application does not receive, hold, or store your trading deposits. Your trading deposits are securely stored in your private trading account (the Account) with a third-party service provider (the Broker), which provides, operates, and maintains the Account, along with its funds and trading services to you.

The Application does NOT include functionality to initiate withdrawals from the Account to any other accounts and/or third parties.

This application is a software product, an automated system for real-time data analysis and evaluation, as well as for the automatic execution of pre-programmed tasks. Under no circumstances should the use of this application be construed as the provision of investment or advisory services or asset management services.

1. PROVISIONS

1.1 You are authorized to use the Application only if you fully read, understand, and accept these Terms of Use in their entirety and fully comprehend, accept, and agree with all paragraphs, statements, and provisions of these Terms of Use.

1.2 If you do not read, understand, accept, or agree with these Terms of Use (and/or with any paragraph(s), statement(s), part(s), or provision(s) of these Terms of Use), then you are NOT authorized to use the Application (and/or any of its part(s), module(s), and/or sub-module(s)), and such usage is strictly prohibited. Using the Application in conflict with this statement will be considered illegal.

1.3 Using the Application in conflict with these Terms of Use (and/or in violation of any paragraph(s), statement(s), part(s), or provision(s) of these Terms of Use) is NOT authorized and is strictly prohibited and considered illegal.

1.4 In the event that any condition(s) from paragraph 1.1 and/or paragraph 1.2 and/or paragraph 1.3 of this ToS is met or in case of a breach of any term(s) of these Terms of Use, you are obligated to cease using the Application immediately.

1.5 You are authorized to use the Application only with trading Account(s) that legally belong to you and are your private personal property.

1.6 You are authorized to use the Application only with financial funds that legally belong to you and are your private personal property.

1.7 You are authorized to use the Application only with login credentials that belong to your private personal trading Account(s) and are your private personal property.

1.8 You are authorized to use the Application only with login credentials that are not disclosed and/or known to any other third party (including but not limited to any other software application and/or person and/or entity and/or source) other than the Application.

1.9 You are authorized to use the Application only under your direct and uninterrupted supervision, control, and access to the Application during the entire time when the Application is online and active. You agree and are obligated to be continuously able and available to access the Application when it is online and active. You agree and are obligated to be able and available to manage the Application and/or disable the Application in case of (but not limited to) any emergency situations during the entire time when the Application is online and active. If you anticipate being offline and/or without internet connection and/or without proper access to the Application, you are obligated to stop the Application and refrain from using it until you have the ability to regulate, control the Application, and halt it in the event of an emergency.

1.10 You are NOT authorized to use the Application if you do not fully understand the principles of Forex trading and/or trading with margin (leverage) and/or trading with fully automated trading software and/or trading with this Application and its strategy and/or if you do not fully understand the risks associated with such activities and/or if you do not fully accept the risks associated with using this Application at your own expense.

1.11 You are NOT authorized to use and/or distribute the Application if such usage and/or distribution of the Application would constitute a breach of your domestic laws and/or a violation of any regulation(s) and/or law(s) set by any authority in your jurisdiction or in any other jurisdiction(s).

1.12 Any information and/or trading signal and/or trading instruction and/or trade generated and/or provided and/or distributed by the Application is for informational purposes only and does not constitute investment advice.

1.13 You are authorized to use the Application only if you acknowledge that the Application does not provide financial or investment advice, and the actions you take based on the opinions and/or trading signals and/or any outputs provided by the Application are your decisions, and you are solely and fully responsible for all trades, investments, and their consequences when using the Application.

1.14 You are only authorized to use this Application if you acknowledge and agree that the developers of this Application (including but not limited to the creator(s), author(s), distributor(s), propagator(s) of the Application) do not provide any financial or investment services or investment or any other advice to you, and you will not interpret the use of the Application in any context or under any circumstances as the provision of financial or investment services or the provision of asset management services.

1.15 Using the Application for trading on a Demo account and/or for trading on a Live account is your decision, and you assume full responsibility for such a decision. Using the Application on a Live Account will have real and irreversible financial consequences (positive and/or negative) on the Account balance.

1.16 The Application, its algorithms and functionalities, its provision, and distribution are not licensed, audited, regulated, or supervised by any third party or by any financial authority.

1.17 In some jurisdictions, the use of the Application may be restricted, regulated, or require special permits, registrations, or licenses.

1.18 You are solely responsible for ensuring compliance with the regulations of your country of residence and for any consequences arising from the use of the application. You bear full responsibility for any negative impacts arising from the regulations of your country and from the use of the Application.

1.19 You bear sole responsibility for all possible negative impacts and consequences (including but not limited to financial and legal impacts and consequences) caused directly or indirectly by using the Application.

1.20 You are NOT authorized to use the Application if you are under the age of 18.

2. THE APPLICATION

2.1 The Application accesses a trading account through login credentials (API-Key, Secret, Account Number) that you provide when initiating the Application (hereinafter the “Login Credentials”).

2.2 Usage of the Login Credentials in violation of paragraph 1.5 and/or 1.6 and/or 1.7 and/or 1.8 of these Terms of Use is strictly prohibited.

2.3 The Application may save the Login Credentials to the local physical hard drive of the device where the Application is used and then automatically offer the saved Login Credentials when the Application is relaunched (commonly known as ‘auto-fill’).

2.4 The Application connects to the trading account (the “Account”) and its data specified by the specific Account Number (a component of the Login Credentials) when initiating the Application.

2.5 The Application connects to a live market data feed and analyzes the real-time market situation based on its proprietary trading strategy and algorithms to identify potentially profitable trading opportunities and/or to await such opportunities.

2.6 The Application sends trading instructions (buy and/or sell commands) to the Account and executes real trades. The Application can open, modify, and/or close trades on the Account using any trading amount (with margin/leverage) and any trade direction (BUY or SELL) based on its internal trading strategy, risk management, and algorithms.

2.7 The Application can open, modify, and/or close one or more trades on the Account and/or several trades for trading on the Account in accordance with its inner trading strategy, risk management, and algorithms (as described in paragraph 2.6 of these Terms of Use).

2.8 Opening and managing all trades and their life cycle and risk management are controlled by the inner trading strategy, risk management, and algorithms of the Application.

2.9 Trades executed by the Application have real, irreversible, non-changeable, and non-refundable effects on the Account, and they irreversibly impact the account balance of the Account (positively or negatively). Trades made by the Application cannot be reversed, modified, or financially refunded by any means or by any party, and all closed trades are final, including their respective trading profits and/or losses.

2.10 The Application makes its trading decisions and calculations locally on the device on which the Application is initiated. The trading strategy and logic are implemented within the code of the Application on the device where the Application is initiated.

2.11 You have the ability to terminate the Application at any time by ending it on the device(s) where the Application is initiated. Once the Application is fully terminated, any trades that were opened (and not yet closed) before termination (or interruption) of the Application are not automatically closed. You are responsible for maintaining and managing such trades manually and closing them if necessary. These trades are no longer supervised, maintained, or managed by the Application after the Application is terminated.

2.12 When using the Application, you acknowledge and accept full responsibility for all consequences arising from its usage, including (but not limited to) potential technical risks, technical failures, damages, financial damages of any nature, including (but not limited to) all direct and indirect financial losses and all direct and indirect resulting trading losses.

2.13 Use of the Application is at your own risk, and by using the Application, you waive all rights and claims to seek any form of responsibility or compensation (or its components) from any third party(ies) for any potential financial damages and/or financial losses (or their components) caused by the Application (directly or indirectly) or caused by any part or module or submodule of the Application.

2.14 Using the Application cannot guarantee future profits, and there is always a significantly high risk of losing all financial funds when using the Application. When using the Application, you acknowledge that trading results, profits, losses, and all resulting consequences are at your own risk and expense.

2.15 If you decide to manually modify and/or close any trades that were previously opened by the Application, you understand and accept that this may disrupt the inner trading strategy and risk management of the Application and lead to unpredictable and unstable outcomes, for which the Application is not designed.

3. PRIVACY AND SECURITY

3.1 Due to the auto-fill function, the Login Credentials are locally saved in a non-encrypted properties text file on the local physical hard drive of the device where the Application is initiated and/or used. You are responsible for properly protecting this and any other locally created files and/or files associated with the Application and never sharing them with any third party(ies) and/or any other software applications other than the Application itself.

3.2 For security reasons, you are authorized to use only API-Keys with permissions to view the Account and perform trading on the Account. You are NOT authorized to use API-Keys with permissions to initiate or authorize transfers or withdrawals on any account(s).

3.3 When using the Login Credentials with the Application, you are obligated to keep the Login Credentials for your personal use only and not to reveal or share them with any third party(ies) (including but not limited to any other software application or similar trading robots) other than the Application itself and as described in this document.

3.4 The Application sends sensitive details of trades made by the Application on the Account to our remote server. This includes (but is not limited to) trade UID, trade open price, close price, amount, profit/loss, etc. This data allows the Application to accurately calculate the Price for using the Application (see article 7.PRICING of this document).

4. RISK WARNING

4.1 Online trading in any markets (including but not limited to Cryptocurrency, Stocks, Forex, CFD, etc.) is highly speculative and carries a high risk of rapidly losing all of your financial funds due to (but not limited to) high leverage. Such trading and the Application are not suitable for all investors. The Application is complex and speculative, and you should never risk more than you can afford to lose. You should assess whether you understand how such trading and the Application function and whether you can bear the high risk of losing all of your invested financial funds. Seek independent advice if necessary. If you do not properly understand the principles of such trading and/or the principles of the Application and/or the high risk associated with the Application, you are NOT authorized to use the Application.

4.2 When using the Application, many unpredictable and/or unexpected events can have a significant impact on trading results, including associated profits and/or losses. This includes (but is not limited to) software errors, software bugs, software mistakes, errors or bugs or mistakes made by or caused by the Application, market volatility, market liquidity, accidents of any kind, power outages, interruptions in operation, internet connection interruptions, consecutive losing trades, Application failure, or failure of any other software or hardware, among other factors that may not be within your control. If you do not accept and/or do not agree to take full responsibility for such (and all other similar) events and/or accidents, you are NOT authorized to use the Application.

4.3 Given the speculative and unpredictable nature of the Application, and the potential for unforeseen events, flaws, or errors that could result in a loss of trading capital, you are strongly advised to monitor the Application in real-time. If you anticipate being unable to closely monitor the Application and the associated Account or to intervene in the event of issues, it is advisable to pause the Application. Only resume its use when you can actively monitor and intervene as necessary.

4.4 Using the Application on different trading accounts may result in different performance, profitability, and losses. Algorithmic trading involves many variables and unpredictable factors, and using the Application on one trading account may result in profits, while using the same Application on another account may result in losses. There is a high risk of many unpredictable factors, and even minor details may lead to significantly different results and behaviors of the Application when used on different trading accounts within the same environment and/or conditions.

4.5 The Application, its behavior, results, success rate, and overall performance are highly unpredictable, speculative, and come with no guarantees whatsoever.

4.6 Past profits do not guarantee future profits. Any profitable trading strategy (including the Application) can result in significant financial losses. The Application comes with no guarantees, and there is no assurance of profits or the elimination of any risks when using the Application.

4.7 By using the Application, you waive all rights and claims to seek any form of compensation (or its components) for any damage (or its components) arising from using the Application from any third party(ies) (including but not limited to the creator(s), author(s), distributor(s), and propagator(s) of the Application). This includes (but is not limited to) financial and non-financial (both direct and indirect) damages, financial losses, trading losses, technical damages, damages to hardware and/or software equipment.

4.8 The Account and all underlying financial funds are held and safeguarded by a third party that provides you with its trading services and maintains the Account. You are solely responsible for paying attention to all risks associated with such a third party and its services.

4.9 The use of the Application may have a significantly negative impact on your lifestyle and financial status.

5. DISCLAIMER

5.1 No third party(ies) (including but not limited to the creator(s), author(s), distributor(s), and propagator(s) of the Application) bears any responsibility (financial or otherwise) for any losses, damages, or consequences (including but not limited to financial and non-financial damages, financial losses, trading losses) arising from using the Application (both directly and indirectly).

5.2 The Application (including but not limited to the creator(s), author(s), distributor(s), and propagator(s) of the Application) does not assume responsibility for receiving, processing, or storing your deposits or for the financial integrity and/or liquidity of your funds.

5.3 The Application (including but not limited to the creator(s), author(s), distributor(s), and propagator(s) of the Application) does not assume responsibility for trading services provided to you by any third party or for any risks associated directly or indirectly with such services and/or with such third parties.

5.4 The Application (including but not limited to the creator(s), author(s), distributor(s), and propagator(s) of the Application) makes no guarantee of comparability (including but not limited to equality, similarity, correlation) of trading results, trading performance, success rate, etc., between two trading accounts where the Application was used within the same environment and/or inputs and/or input factors.

5.5 All promotional materials mentioning, describing, explaining, or promoting this Application, including but not limited to information, descriptions, explanations, statistics, previous performance, statistics of other trading accounts, calculations, etc., are for informational purposes only, and their accuracy is not guaranteed.

6. OTHER PROVISIONS

6.1 The Account is not associated with the Application.

6.2 The Application (including but not limited to the creator(s), author(s), distributor(s), and propagator(s) of the Application) does not receive, process, hold, or store your trading deposits. Your trading deposits are received, processed, and stored in your private trading account (the Account) with a third-party service provider (the Broker) that provides you with the Account and trading services.

6.3 Deposit instructions displayed within the Application are retrieved from the Account to which the Application is connected. The Application does not guarantee the safety or accuracy of such instructions.

6.4 You are expressly prohibited from copying, replicating, or otherwise transferring the trading instructions of the Application, whether directly or indirectly, to any trading accounts other than the Account where the Application is initiated.

6.5 At no time are you entitled to, nor do you possess any rights to, any codes associated with the Application (including but not limited to source codes and binary codes). Furthermore, we are under no obligation to provide you with such codes.

6.6 You acknowledge and accept that certain components of the Application (such as detailed explanations of its internal trading strategy, risk management, models, etc.) are not disclosed to you or the general public. These components constitute the proprietary know-how and trade secrets of the Application.

6.7 Any payments made by you for the usage of the Application or its subscription should not be interpreted as a purchase of the Application, its copyrights, IP rights, or source or binary codes into your ownership.

7. PRICING

7.1 The price for using the Application is determined as 20% of the total Net Profit generated on the Account by the Application. “Net Profit” refers to the resulting sum of all positive trades (profits) and negative trades (losses) combined for each specific period (every 3 months). This calculation includes only trades that were both opened and closed by the Application.

7.2 The Price is calculated and payable every month of using the Application.

7.3 Other than the Price described in this article, there are no additional prices or fees for using the Application.

7.4 Failure to pay the Price will result in the automatic blocking of the Application, preventing further use.

7.5 Once paid, the Price becomes immediately irreversible and non-refundable.

7.6 There will be no prices or fees for using the Application in cases where there is no Net Profit on the Account or when the Net Profit is negative (resulting in a loss).

7.7 There are no prices or fees for using the Application other than the Price specified in these Terms of Use.

8. FINAL PROVISIONS

8.1 You declare that you have a full understanding of trading in Cryptocurrency markets, the principles of such trading with the Application, and that you are using the Application at your own risk.

8.2 You declare that using the Application is your voluntary choice, and you can discontinue its use at any time as you see fit.

8.3 You declare that you will not interpret or consider the use of the Application as the provision of financial and/or investment services, financial and/or investment advice, or asset management services, in any context or under any circumstances.

8.4 You declare that using the Application does not violate or conflict with any domestic laws you are subject to, and it does not violate any laws or regulations established by any authority in your jurisdiction or any other jurisdiction(s).

8.5 You declare that you fully understand how to initiate and terminate the Application, as well as how to activate and deactivate all trading functions and operations of the Application at your discretion.

8.6 You declare that there are no obstacles to initiating or terminating the Application.

8.7 You declare that you have fully read, understood, and accepted the entire content of these Terms of Use, and you fully agree with these Terms of Use in their entirety, which are legally binding upon you.

8.8 In the event that you use Ease Of Trade on behalf of any organization, company, entity, or other third party, you represent and warrant that you have the authority to bind that organization, company, entity, or other third party to these Terms of Use, and in such case, the terms “you” and “your” shall refer to that organization, company, entity, or other third party.
